Changes to the GCC By-Laws

There will be a vote on January 16th, 2014 to made two amendments to the Gunks Climbers’ Coalition by-laws. Voting is only open to current members of the board of directors. Here are the details of the proposed changes:

Notice of Proposed Amendments to

the Bylaws of
the Gunks Climbers’ Coalition,

as Adopted
October 21, 2006

 

In accordance with the bylaws of the
Gunks Climbers’ Coalition, as Adopted October 21,
2006, notice is hereby given that the following bylaw amendments will be
considered at a Special Meeting of the Board of Directors on January 16, 2014,
which will be held by telephone pursuant to authority of the Bylaws at 6:30 PM.

 

A vote will be requested from the members
of the Board of Directors at the time of such Special Meeting.

Amendment 1: Section 3.2(c)
(Directors) would be revised as follows:

RATIONALE

Terms.
Directors shall be elected by the Board of Directors at each annual meeting
of the Board. Each Director’s term shall be for two (2) years. A Director may not serve for more than three (3) consecutive two-year terms
on the Board; however, any Director who has served 3 consecutive terms and is interested in serving as a Director
in the future shall be eligible for re-nomination to the Board after a period
of one (1) year, with the foregoing term limitations.

on the Board; however, any Director who has served 3 consecutive terms and is interested in serving as a Director in

one (1) year, with the foregoing term limitations.

 

When
deemed to be in the best interests of the Organization, the foregoing term limitations
may be waived on a case-by-case basis by majority vote of those Directors who
are not proposed to serve an additional term beyond the foregoing term
limitations.

From time to time it becomes
necessary and in the best interests of the GCC to extend the service of a
Director (who is willing and interested) because the Director has substantial
experience and can continue to make important contributions to the
Organization and no other qualified candidate has expressed an interest in
filling the vacancy.

 

 

 

Amendment 2: Section 4.2(b)
(Officers) would be revised as follows:

RATIONALE

Each
officer shall hold office for a term of one (1) year or until such officer’s successor shall have been
duly elected, or until such officer’s death, resignation or removal in the
manner herein provided. No officer may serve more than three (3) consecutive terms in the
same office or position.

When
deemed to be in the best interests of the Organization, the foregoing term
limitations may be waived on a case-by-case basis by majority vote of those
Directors who are not proposed to serve an additional term as an officer beyond
the foregoing term limitations.

 

Officers require more than a year
to reach their full potential and effectiveness. Moreover, there is a limited
pool from which to draw successor officers each year, and it will make the
operations of the GCC Board more efficient if Officers can serve for two
years instead of one.

Additionally, from time to time it
becomes necessary and in the best interests of the GCC to extend the service
of an Officer (who is willing and interested) because the Officer has
substantial experience in that position and can continue to make important
contributions to the Organization and no other qualified candidate has
expressed an interest in filling the vacancy.
